1. Definitions

  • "PSM" means the Package for School Management platform, including the SaaS web application, Desktop application, mobile applications (PSM Mobile and MyChild), and all associated services.
  • "Axera Innovations" or "we" means Axera Innovations (U) Limited, the developer and operator of PSM.
  • "Customer" or "you" means the school, educational institution, or organisation that subscribes to PSM.
  • "User" means any individual granted access to PSM by the Customer, including administrators, teachers, finance staff, and parents.
  • "Subscription" means the paid or trial arrangement under which the Customer accesses PSM.

2. Acceptance of Terms

By registering for, accessing, or using PSM, you agree to be bound by these Terms & Conditions. If you are agreeing on behalf of a school or organisation, you represent that you have the authority to bind that entity. If you do not agree to these terms, do not use PSM.

3. Description of Service

PSM is a comprehensive school management system providing tools for student management, academic tracking, financial management, staff administration, communication, and reporting.

SaaS Deployment

  • Cloud-hosted on Oracle Cloud Infrastructure
  • Accessed via web browser at a school-specific subdomain
  • Automatic updates and maintenance included
  • Data hosted and backed up by Axera Innovations

Desktop Deployment

  • Installed on the Customer's local Windows server or workstation
  • Requires a valid license key obtained through School Sign Up
  • Customer is responsible for local hardware, backups, and network
  • Software updates provided by Axera Innovations

4. License Grant

Subject to these terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use PSM for the internal school management purposes of your institution. You may not sublicense, resell, or distribute PSM to third parties.

5. Acceptable Use

You agree to:

  • Use PSM only for lawful school management purposes
  • Maintain the confidentiality of all account credentials
  • Ensure the accuracy of data entered into the system
  • Comply with applicable data protection and privacy laws
  • Not attempt to reverse-engineer, decompile, or disassemble the software
  • Not use PSM to store or transmit malicious code
  • Not exceed the user or student limits of your subscription plan

6. Payments & Billing

  • Subscription fees are billed in advance according to the selected plan (termly or annually)
  • Prices are quoted in Uganda Shillings (UGX) and are inclusive of applicable taxes unless stated otherwise
  • We reserve the right to adjust prices with 30 days' written notice before the next billing cycle
  • Late payments may result in service suspension after a 14-day grace period
  • Refunds are assessed on a case-by-case basis; no refunds are issued for partially used billing periods

7. Data Ownership & Portability

  • You retain full ownership of all data entered into PSM by your institution
  • We provide data export tools to enable you to retrieve your data at any time
  • Data is backed up regularly for protection against loss
  • Upon termination, your data is retained for 90 days and then permanently deleted unless otherwise agreed in writing

8. Service Level Agreement

We target 99.9% uptime for the SaaS platform. Planned maintenance windows and support response time guarantees are detailed in our Support & SLA page, which forms part of these terms.

9. Intellectual Property

All intellectual property rights in PSM (including source code, design, trademarks, documentation, and user interface) remain the exclusive property of Axera Innovations (U) Limited. Your subscription grants a license to use the platform, not ownership of any part of it.

10. Termination

  • Either party may terminate the subscription with 30 days' written notice
  • We may suspend or terminate service immediately for material breach of these terms, including non-payment
  • Upon termination, your access to PSM will be revoked and the data retention period (90 days) will begin
  • Termination does not relieve the Customer of any outstanding payment obligations

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability for any claims arising from or related to PSM shall not exceed the total fees paid by the Customer in the 12 months preceding the claim
  • We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunity
  • We are not liable for failures caused by factors outside our reasonable control, including internet outages, power failures, or acts of God

12. Governing Law & Disputes

These terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from or in connection with these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of Uganda with jurisdiction in Kampala.

13. Changes to These Terms

We may update these Terms & Conditions from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of PSM after the effective date constitutes acceptance of the updated terms.
